Subject to the dispute resolution provisions in Section 18, you agree that any legal action or proceeding shall be brought exclusively in the competent courts located in New Delhi, India. You consent to the personal jurisdiction of and venue in such courts and waive any objection based on inconvenient forum.

For users outside India: If you access the Site from outside India, you do so on your own initiative and are responsible for compliance with local laws. The Service is not intended for distribution to or use by any person in any jurisdiction where such distribution or use would violate local law.

18Dispute Resolution

Step 1 — Good faith negotiation: Before initiating any formal legal proceedings, the parties shall first attempt to resolve disputes through good-faith negotiation. Either party may initiate negotiation by sending written notice to the other party describing the dispute. The parties shall negotiate in good faith for at least thirty (30) days from receipt of the notice.

Step 2 — Arbitration: If the dispute is not resolved through negotiation within thirty (30) days, the dispute shall be subject to arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted as follows:

• Language: English
• Number of arbitrators: One (1), mutually appointed
• Rules: Indian Council of Arbitration (ICA) rules, or as mutually agreed

Step 3 — Courts: Notwithstanding the above, either party may seek injunctive relief in the courts of New Delhi, India, for matters involving intellectual property infringement, breach of confidentiality, or other irreparable harm.

Waiver of class action: To the extent permitted by law, you agree that any claim shall be brought individually and not as a class, collective, or representative action.

19Severability & Miscellaneous

Severability: If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, and the remaining provisions shall continue in full force and effect.

No waiver: Our failure to enforce any provision of these Terms shall not be deemed a waiver of such provision or our right to enforce it.

Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding use of the Service, superseding all prior agreements or understandings.

Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
